Terms of service

This contract is between you (the "Client") and Webfair.

1. WORK AND PAYMENT.

The standard terms and conditions for Webfair Subscription websites and Webfair single payment websites are as follows:

 

1.1 Starter website subscription. The Client is hiring Webfair to do the following: 

Webfair will be designing, developing, hosting and maintaining a custom website for the client. This is on a monthly subscription basis whereby the client pays a monthly fee to Webfair. This will include:

  • Initiation meeting (video call) to gather information such as design preferences & important details needed to start any work 

  • Custom design of website homepage using dummy text or clients existing copy. 

  • One round of revisions to the homepage design

  • Build of the rest of the website pages (up to 2) using copy provided by client

  • One round of revisions to the website build (all pages other than the homepage)

  • Development in Wix Studio

  • Up to 3 pages total

  • Up to 2 premium stock images

  • Free edits to the site for the duration of the client’s subscription - Clients are to add their edit requests to a shared Trello board. Webfair will then action these edits one at a time

  • Page/content migration from existing site if necessary

  • Site security

  • Optimization for conversions

  • Basic SEO setup

  • Hosting

  • Free domain worth a maximum of £20 or assistance in transferring or pointing an existing domain

  • Regular site back ups

 

Once the website is live, Webfair will offer additional services for anything not included in the subscription package at an hourly rate of £40 per hour. This covers:

  • Larger site changes/updates

  • Structural or layout changes

  • Integrating new functionality, plugins or apps

  • Additional landing page design

  • Any piece of work webfair deems to take longer than 30 minutes to complete

  • Anything else Webfair deems to not be included in the clients subscription package

 

Webfair reserves the right to decide when an edit or change or development is too large to be included in the free edits provided with the subscription package.

 

 

*Any larger project updates will require a new agreement or a separate invoice for Webfair’s services.

 

1.2 Pro website subscription. The Client is hiring Webfair to do the following:

  • Setup of members area if needed

  • Setup of CMS if needed

  • Setup of bookings platform if needed

  • Setup of Pop-up if needed

  • Setup of live chat if needed

  • Free edits to the site for the duration of the client’s subscription - Clients are to add their edit requests to a shared Trello board. Webfair will then action these edits one at a time

1.3 Premium website subscription. The Client is hiring Webfair to do the following:

  • Initiation meeting (video call) to gather information such as design preferences & important details needed to start any work 

  • Custom design of website homepage using new copywriting produced by Webfair (if needed) or clients existing copy. 

  • One round of revisions to the homepage design & copywriting

  • Build of the rest of the website pages including copywriting produced by Webfair if needed

  • One round of revisions to the website build and all copywriting (all pages other than the homepage)

  • Development in Wix Studio

  • Unlimited pages

  • Up to 10 premium stock images

  • Setup of eCommerce functionality if needed

  • Setup of blogging functionality if needed

  • Setup of members area if needed

  • Setup of CMS if needed

  • Setup of bookings platform if needed

  • Setup of Pop-up if needed

  • Setup of live chat if needed

  • Setup of advanced business management features such as: Ticket & event management, Restaurant management, Hotel management, Fitness platform 

  • Free edits to the site for the duration of the client’s subscription - Clients are to add their edit requests to a shared Trello board. Webfair will then action these edits one at a time

  • Page/content migration from existing site if necessary

  • Brand guidelines document

  • Social media templates 

  • Site security

  • Optimization for conversions

  • Basic SEO setup

  • Hosting

  • Free domain worth a maximum of £20 or assistance in transferring or pointing an existing domain

  • Regular site back ups

  • Monthly audit and development of website*

 

*Once the website is live, Webfair will offer a monthly check in (video call) with the client to discuss any developments or improvements the client wishes to make or that webfair recommends. Webfair will then provide up to 2 hours or design/development time each month to work on these agreed developments or improvements. The work to be completed in this 2 hour design/development time is to be agreed in advance in the monthly check in video call. Any work that goes over the agreed 2 hours will be pushed into the next month's allowance and this is completely and solely at the discretion of Webfair. This covers:

  • Larger site changes/updates

  • Structural or layout changes

  • Integrating new functionality, plugins or apps not included in the client’s current subscription package

  • Integrating or setting up any app, plugin or functionality that is included in the client’s current subscription package that was not set up at the beginning of the project when the site first went live.

  • Additional landing page design

  • Any piece of work webfair deems to take longer than 30 minutes to complete

  • Anything else Webfair deems to not be included in the clients subscription package

 

Webfair reserves the right to decide when an edit or change or development is too large to be included in the free edits provided with the subscription package.

 

Any work that falls outside of this scope, or that goes beyond the set 2 hours of monthly design/development time in any single month period will be invoiced separately and charged at a rate of £40 per hour.

1.4 Starter website single payment. The Client is hiring Webfair to do the following:

This is on a single payment basis whereby the client pays a 50% deposit upfront, and pays the remaining 50% on project completion, before the website goes live. The client may instead pay the full 100% fee upfront, whichever is agreed at the beginning of the project. Once the website has gone live, it will be transferred to the client and will henceforth be owned by the client. The client will then pay an ongoing monthly fee to the platform provider, this covers the use of the platform as well as hosting and more.

 

This will include:

  • Initiation meeting (video call) to gather information such as design preferences & important details needed to start any work 

  • Custom design of website homepage using dummy text or clients existing copy. 

  • One round of revisions to the homepage design

  • Build of the rest of the website pages (up to 2) using copy provided by client

  • One round of revisions to the website build (all pages other than the homepage)

  • Development in Wix Studio

  • Up to 3 pages total

  • Up to 2 premium stock images

  • Page/content migration from existing site if necessary

  • Optimization for conversions

  • Basic SEO setup

  • Assistance in purchasing, transferring or pointing an existing domain

 

Once the website has gone live, Webfair has no obligation or responsibility to perform any work on the site. The upkeep of the website, including maintenance, updates, design, security and backups are solely the responsibility of the client.

 

Webfair will offer additional services at an hourly rate of £40 per hour.

 

Once the website has gone live, Webfair accepts no responsibility for any circumstances, fee’s, charges, or lawful action that may arise as a result of the client’s actions. This may include but is not limited to: Adding copyrighted material to the website without the proper license.

 

*Any larger project updates will require a new agreement or a separate invoice for Webfair’s services.

 

 

1.5 Pro website single payment. The Client is hiring Webfair to do the following:

1.7 Schedule. Webfair will only begin work once the client has signed and agreed to this contract and signed up to a subscription website package or paid a deposit for a single payment website through the Webfair website. Designing, building, and making the website live is expected to take between 2-6 weeks depending on the package, size and complexity of your website. This estimation is from the date of the initiation meeting video call. This timeframe is an estimation & can increase if the client is not responsive or holds up the project in any way.  

Any time frames given by Webfair are purely estimates.

 

1.8 Payment. The Client will pay Webfair:

Starter website subscription

£99 per month on an ongoing basis. The client must sign up to their website package and pay the first month's subscription before Webfair will do any work or schedule the project initiation meeting.

 

Pro website subscription

 £169 per month on an ongoing basis. The client must sign up to their website package and pay the first month's subscription before Webfair will do any work or schedule the project initiation meeting.

 

 

Premium website subscription

£259 per month on an ongoing basis. The client must sign up to their website package and pay the first month's subscription before Webfair will do any work or schedule the project initiation meeting.

 

Starter website single payment

£1299. The client must sign up to their website package and pay either the full balance or a 50% deposit before Webfair will do any work or schedule the project initiation meeting. When requesting to start with a 50% deposit, an invoice will be sent for this amount and a second invoice will be sent on project completion. The second and final invoice must be paid prior to Webfair making the website live and transferring ownership to the client.

 

Pro website single payment

£1999. The client must sign up to their website package and pay either the full balance or a 50% deposit before Webfair will do any work or schedule the project initiation meeting. When requesting to start with a 50% deposit, an invoice will be sent for this amount and a second invoice will be sent on project completion. The second and final invoice must be paid prior to Webfair making the website live and transferring ownership to the client.

 

Pro website single payment

£2999. The client must sign up to their website package and pay either the full balance or a 50% deposit before Webfair will do any work or schedule the project initiation meeting. When requesting to start with a 50% deposit, an invoice will be sent for this amount and a second invoice will be sent on project completion. The second and final invoice must be paid prior to Webfair making the website live and transferring ownership to the client.

 

 

Additional Hourly Rate:

The Client will pay Webfair an hourly rate of £40 per hour for any additional service that is not included in their chosen website package. These additional services must be pre-approved by the client and by Webfair.

 

1.9 Additional Expenses. The Client will pay for or reimburse Webfair for expenses. Expenses need to be pre-approved by the Client and by Webfair. Examples of Additional Expenses are things like additional domain names, site plugins, apps etc.  

 

2. TERM AND TERMINATION.

For a subscription package, this contract is ongoing with no end date. This contract only terminates if the client or Webfair ends the subscription and the client ceases monthly payments. Once the subscription has ended, the website will be taken down. If the client at any point wishes to end subscription payments and own their site, they have the option to pay the current ‘single payment’ price for their package (£1299 for starter, £1999 for pro and 2999 for premium) and the website ownership will be transferred to the client. The client will from this point on be solely responsible for the website including it’s updates, maintenance, design, development, hosting & domain. The domain ownership (if owned by Webfair) will also be transferred to the client at this point.

 

For a single payment package, this contract ends when the client has paid their balance in full and Webfair has made the client’s website live & transferred ownership of the website to the client. 

 

3. WEBSITE RESPONSIBILITY.

3.1 Webfair Responsibility. Once the website is completed and live on the internet, Webfair is not responsible for any images or content that are found on the website that may have been illegally acquired and put there by the client. For example, if the client illegally takes photos that are not meant for commercial use and are sued, Webfair is not responsible and carries no risk. 

4. REPRESENTATIONS.

4.1 Overview. This section contains important promises between the parties.

4.2 Authority To Sign. Each party promises to the other party that it has the authority to enter into this Contract and to perform all of its obligations under this Contract.

4.3 Webfair has the right To Give Client Work Product. Webfair promises that it owns the work product, that the Webfair is able to give the work product to the Client, and that no other party will claim that it owns the work product. If  Webfair uses employees or subcontractors, Webfair also promises that these employees and subcontractors have signed contracts with the Contractor giving the Contractor any rights that the employees or subcontractors have related to the Contractor's background IP and work product.

4.4 Webfair Will Comply With Laws. Webfair promises that the manner it does this job, its work product, and any background IP it uses comply with applicable UK  laws and regulations.

4.5 Work Product Does Not Infringe. Webfair promises that its work product does not and will not infringe on someone else’s intellectual property rights, that Webfair has the right to let the Client use the background IP, and that this Contract does not and will not violate any contract that Webfair has entered into or will enter into with someone else.

4.6 Client Will Review Work. The Client promises to review the work product, to be reasonably available to the Contractor if the Contractor has questions regarding this project, and to provide timely feedback and decisions.

4.7 Client-Supplied Material Does Not Infringe. If the Client provides the Contractor with material to incorporate into the work product, the Client promises that this material does not infringe on someone else’s intellectual property rights.

 

5. CONFIDENTIAL INFORMATION.

5.1 Overview. This Contract imposes special restrictions on how the Client and the Contractor must handle confidential information. These obligations are explained in this section.

5.2 The Client’s Confidential Information. While working for the Client, Webfair may come across, or be given, Client information that is confidential. This is information like customer lists, business strategies, research & development notes, statistics about a website, and other information that is private. Webfair promises to treat this information as if it is Webfair’s own confidential information. Webfair may use this information to do its job under this Contract, but not for anything else. For example, if the Client lets Webfair use a customer list to send out a newsletter, Webfair cannot use those email addresses for any other purpose. The one exception to this is if the Client gives Webfair written permission to use the information for another purpose, Webfair may use the information for that purpose, as well. 

When this Contract ends, Webfair must give back or destroy all confidential information. Webfair promises that it will not share confidential information with a third party, unless the Client gives Webfair written permission first. Webfair must continue to follow these obligations, even after the Contract ends. Webfair’s responsibilities only stop if Webfair can show any of the following: (i) that the information was already public when Webfair came across it; (ii) the information became public after Webfair came across it, but not because of anything Webfair did or didn’t do; (iii) Webfair already knew the information when Webfair came across it and Webfair didn’t have any obligation to keep it secret; (iv) a third party provided Webfair with the information without requiring that Webfair keep it a secret; or (v) Webfair created the information on its own, without using anything belonging to the Client.

5.3 Third-Party Confidential Information. It’s possible the Client and Webfair each have access to confidential information that belongs to third parties. The Client and Webfair each promise that it will not share with the other party confidential information that belongs to third parties, unless it is allowed to do so. If the Client or Webfair is allowed to share confidential information with the other party and does so, the sharing party promises to tell the other party in writing of any special restrictions regarding that information.

 

6. GENERAL.

6.1 Assignment. This Contract applies only to the Client and Webfair. Webfair cannot assign its rights or delegate its obligations under this Contract to a third-party (other than by will or intestate), without first receiving the Client’s written permission. In contrast, the Client may assign its rights and delegate its obligations under this Contract without Webfair’s permission. This is necessary in case, for example, another Client buys out the Client or if the Client decides to sell the work product that results from this Contract.

6.2 Arbitration. As the exclusive means of initiating adversarial proceedings to resolve any dispute arising under this Contract, a party may demand that the dispute be resolved by arbitration.

6.3 Modification; Waiver. To change anything in this Contract, the Client and the Contractor must agree to that change in writing and signing a document showing their contract. Neither party can waive its rights under this Contract or release the other party from its obligations under this Contract, unless the waiving party acknowledges it is doing so in writing and signs a document that says so

6.4 Notices. 

(a) Over the course of this Contract, one party may need to send a notice to the other party. For the notice to be valid, it must be in writing and delivered in one of the following ways: personal delivery, email, or certified or registered mail (postage prepaid, return receipt requested). The notice must be delivered to the party’s address listed at the end of this Contract or to another address that the party has provided in writing as an appropriate address to receive notice.

(b) The timing of when a notice is received can be very important. To avoid confusion, a valid notice is considered received as follows: (i) if delivered personally, it is considered received immediately; (ii) if delivered by email, it is considered received upon acknowledgement of receipt; (iii) if delivered by registered or certified mail (postage prepaid, return receipt requested), it is considered received upon receipt as indicated by the date on the signed receipt. If a party refuses to accept notice or if notice cannot be delivered because of a change in address for which no notice was given, then it is considered received when the notice is rejected or unable to be delivered. If the notice is received after 5:00pm on a business day at the location specified in the address for that party, or on a day that is not a business day, then the notice is considered received at 9:00am on the next business day.

6.5 Severability. This section deals with what happens if a portion of the Contract is found to be unenforceable. If that’s the case, the unenforceable portion will be changed to the minimum extent necessary to make it enforceable, unless that change is not permitted by law, in which case the portion will be disregarded. If any portion of the Contract is changed or disregarded because it is unenforceable, the rest of the Contract is still enforceable.

6.6 Signatures. The Client must digitally sign this document by clicking the checkbox ‘I have read, understood and agree to the Webfair terms of service’ when making a purchase on the Webfair website. Or by replying to an email in which this document was sent, with the document attached in the reply, stating that the client agrees. These electronic signatures count as originals for all purposes. The Webfair terms of service can be found at any time in the footer of the Webfair homepage or by request.
